Safeguarding Trade Secrets: Access Control & Non-Disclosure

By ILC Advisory Group
Regulatory Disclaimer:This publication provides a strategic commercial overview and general guidance under the laws of England and Wales. It does not constitute statutory SRA-regulated legal advice or establish a solicitor-client retainer.

In an era of high employee mobility, the theft or accidental leakage of commercial trade secrets poses a severe existential threat to businesses. Relying on standard Non-Disclosure Agreements (NDAs) is often insufficient to protect highly sensitive commercial data.

Under UK law, a trade secret must have commercial value because it is secret, and the owner must have taken reasonable steps to keep it so. This requires robust internal access control policies, digital compartmentalization, and strict offboarding protocols when key personnel depart.

We advise clients to implement tiered confidentiality agreements and structured internal compliance frameworks. Failing to demonstrate that adequate protective measures were in place can severely undermine a company’s ability to seek injunctive relief in court.
